KeetechLabs Private Limited – Subscription Agreement
This Subscription Agreement (“Agreement”) is entered into by and between KeetechLabs Private Limited (“KeetechLabs,” “Company,” “Service Provider”) and the Subscriber (“Client,” “You”) upon engagement of services. By subscribing to KeetechLabs' services, the Client agrees to abide by the terms and conditions outlined herein.
1. Scope of Services
KeetechLabs provides IT development and support services, including but not limited to website development, mobile application development, hosting, and ongoing maintenance. The subscription plans are as follows:
- Basic Plan – ₹1,999/month: Portfolio website and app.
- Medium Plan – ₹3,999/month: Small-scale e-commerce or office website and app.
- Large Plan – ₹7,999/month: Larger-scale website and app.
- Custom Plan: Priced based on specific requirements outside the above categories.
Services include IT support, maintenance, and bug fixes but do not cover third-party costs (e.g., domain, hosting, SMS gateways, Firebase storage).
2. Payment Terms & Initial Deposit
- The Client is required to pay a six-month subscription fee upfront as a security deposit before the commencement of services.
- Monthly subscription payments commence from the first month, in addition to the security deposit.
- Payment Due Date: The monthly subscription fee must be paid by the 5th of each month.
- Grace Period: A 10-business-day grace period is provided, making the final deadline the 15th of each month.
3. Consequences of Non-Payment
- Service Suspension: If payment is not received by the 15th, KeetechLabs reserves the right to suspend services.
- Termination: Non-payment for 30 consecutive days results in permanent termination of services.
- Data Retention & Storage Fees: Free storage for 60 days post-termination, then ₹590/month.
- Legal Recourse: KeetechLabs may take legal action for outstanding dues.
4. Domain, Hosting & Intellectual Property Rights
All domains, hosting, and app store listings (Google Play/App Store) shall be registered under KeetechLabs’ name for clients subscribing to the service. Full control remains with KeetechLabs unless outstanding dues are cleared.
5. Third-Party Charges & Billing
The subscription fee covers IT development and support but excludes third-party costs, which are billed separately:
- Domain registration and renewal fees
- Office email services
- SMS gateway and Firebase storage fees
- Third-party APIs, cloud hosting, or external integrations
6. IT Support, Maintenance & Additional Modifications
- IT support, maintenance, and bug fixes are included.
- Feature updates only when necessary.
- Custom modifications are charged separately.
7. Subscription Cancellation & Refund Policy
- Cancellation requires a 30-day advance notice.
- Refunds are processed within 45 days after clearing dues.
- Refunds are via NEFT to the registered bank account.
8. Data Ownership, Handover & Liability
KeetechLabs retains control over client data during the subscription. Data handover happens only after dues are cleared, with a 60-day free storage policy.
9. Legal Compliance & Dispute Resolution
- This Agreement is legally binding under Indian Contract Law.
- Legal disputes fall under Indian courts' jurisdiction.
- Clients indemnify KeetechLabs from claims, liabilities, or disputes.
10. Miscellaneous
- KeetechLabs reserves the right to amend this Agreement with prior notice.
- No refunds for Agreement violations.
- Unlawful actions by the Client may result in legal consequences.
By subscribing to KeetechLabs' services, the Client acknowledges and agrees to all terms and conditions outlined in this Agreement.
